1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Zuberg Solutions ("we," "us," or "our"), the operator of ZuWorx AI, accessible at zuworxai.online.
By creating an account, subscribing to our services, or using ZuWorx AI in any way, you agree to these Terms and our Privacy Policy.
2. Description of Services
ZuWorx AI provides AI-powered communication services for businesses, including:
- Automated missed call text-back responses
- AI-powered lead qualification via SMS conversation
- Appointment booking and calendar integration
- Lead capture and CRM functionality
- AI voice agent capabilities (where enabled)
- Follow-up automation sequences
- Analytics and performance reporting
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to active subscribers.
3. Account Registration
To use ZuWorx AI, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized account access
- Be legally authorized to operate the business you register
You are responsible for all activity that occurs under your account. We reserve the right to terminate accounts that violate these Terms.
4. Subscription and Payment
Billing: ZuWorx AI operates on a monthly subscription basis. Fees are billed in advance at the start of each billing cycle.
Plans: Pricing is as displayed on our website at the time of subscription. We reserve the right to change pricing with 30 days' notice to existing subscribers.
Payment processing: All payments are processed securely through Stripe. We do not store credit card information on our servers.
Failed payments: If a payment fails, we will attempt to retry the charge. Access to services may be suspended after 7 days of non-payment.
Refunds: We offer a 14-day free trial. After the trial period, all subscription fees are non-refundable except where required by law. If you experience a technical issue caused by our platform, please contact us and we will review your case.
5. Cancellation
You may cancel your subscription at any time from your account dashboard or by contacting us at hello@zuworxai.online. Cancellations take effect at the end of the current billing period. You will continue to have access to the service until then.
Upon cancellation, your account data will be retained for 90 days before permanent deletion, giving you time to export any information you need.
6. Acceptable Use
You agree to use ZuWorx AI only for lawful business purposes. You must not:
- Use our services to send spam, unsolicited messages, or illegal communications
- Contact individuals who have opted out of receiving communications
- Violate the Telephone Consumer Protection Act (TCPA) or any other applicable communications law
- Use our AI to deceive, defraud, or harm any individual
- Attempt to reverse engineer, copy, or resell our platform without authorization
- Use our services for any illegal, abusive, or unethical purpose
- Impersonate another person or business without authorization
- Transmit malware, viruses, or harmful code through our platform
Violation of these terms may result in immediate account termination without refund.
7. TCPA and Communications Compliance
You, as the business operating ZuWorx AI, are solely responsible for ensuring compliance with all applicable telecommunications laws, including the TCPA. This includes:
- Obtaining proper consent from contacts before sending automated messages
- Honoring opt-out requests promptly
- Maintaining records of consent as required by law
- Ensuring your use case complies with applicable regulations in your jurisdiction
ZuWorx AI provides tools to help with compliance but is not responsible for how you use those tools. You indemnify us against any claims arising from your non-compliance.
8. Intellectual Property
ZuWorx AI, including all software, designs, content, and trademarks, is the property of Zuberg Solutions and is protected by intellectual property laws.
You retain ownership of all content and data you provide to ZuWorx AI. By using our services, you grant us a limited license to process your data solely for the purpose of providing our services.
You may not reproduce, distribute, or create derivative works from our platform without our express written permission.
9. Third-Party Services
ZuWorx AI integrates with third-party services including Twilio, OpenAI, ElevenLabs, Airtable, Google Calendar, and Stripe. Your use of these integrations is also subject to their respective terms of service and privacy policies. We are not responsible for the actions or availability of third-party services.
10. Limitation of Liability
To the maximum extent permitted by law, Zuberg Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of revenue, profits, or business opportunities
- Loss of data or leads
- Service interruptions or downtime
- Actions taken by our AI that do not meet your expectations
Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.
11. Disclaimer of Warranties
ZuWorx AI is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or that the AI will perform perfectly in every scenario. Results may vary based on your industry, use case, and how the platform is configured.
12. Indemnification
You agree to indemnify and hold harmless Zuberg Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of ZuWorx AI, your violation of these Terms, or your violation of any third-party rights.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law.
14. Changes to Terms
We reserve the right to update these Terms at any time. When we make material changes, we will notify active subscribers by email at least 14 days before the changes take effect. Continued use of ZuWorx AI after the effective date constitutes acceptance of the updated Terms.
